Overview
Welcome to Fragancias3y Wholesale. The terms “we,” “us,” and “our” refer to Fragancias3y Wholesale. We operate this wholesale store and website, including related information, content, features, tools, products, and services (the “Services”). The Services are powered by Shopify.
These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you access or use the Services or purchase wholesale merchandise from us. By using the Services, you agree to these Terms and our Privacy Policy.
1. Wholesale Access and Account
The Services are intended for business customers purchasing merchandise for lawful commercial resale. You represent that you have legal authority to enter into these Terms for yourself or the business you represent and that the information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.
2. Products
We make reasonable efforts to present product information accurately. Packaging, labeling, batch presentation, color, or other manufacturer-controlled details may change without notice and may differ from photographs shown online.
We may change descriptions, discontinue products, limit quantities, or restrict sales by customer, geographic area, or jurisdiction when reasonably necessary.
3. Wholesale Orders and Minimum Purchase
The minimum merchandise subtotal for a wholesale order is $350 USD, calculated after product-level discounts and before shipping charges and applicable taxes.
Submitting an order is an offer to purchase. We may accept, reject, limit, or cancel an order, including for inventory, pricing, payment, fraud-prevention, legal, shipping, or operational reasons. Payment must be successfully processed before an order is accepted for fulfillment.
Wholesale purchases are expressly intended for commercial resale. Buyers are responsible for complying with laws, permits, licenses, resale requirements, marketplace rules, and tax obligations applicable to their own business and resale activities.
4. Pricing, Billing, and Taxes
Prices, discounts, and promotions may change without notice. The price charged is the price applicable when the order is placed, subject to correction of genuine pricing or listing errors as permitted by these Terms and applicable law.
Unless expressly stated otherwise, product prices do not include shipping, handling, taxes, duties, or other governmental charges. Buyers must provide accurate billing and payment information and are responsible for taxes or resale documentation applicable to their purchases.
5. Order Processing, Shipping, and Delivery
Wholesale orders are generally processed within up to 3 business days. Processing time is separate from carrier transit time and may be affected by payment review, order size, inventory verification, weekends, holidays, or circumstances outside our reasonable control.
Shipping and delivery dates are estimates and are not guaranteed. Carrier restrictions may apply because many fragrance products contain alcohol and may be classified as flammable liquids for transportation.
Risk of loss and responsibility for merchandise in transit are subject to the applicable carrier service and law. Customers must promptly inspect deliveries and follow our Shipping Policy and Return & Refund Policy for damage, shortage, or incorrect-item claims.
6. Cancellations
Cancellation requests are accepted only before the shipping process begins. Once a shipping label has been generated, the order is considered in the shipping process and cannot be canceled.
7. Returns and Claims
Wholesale sales are final except for approved claims involving damaged, defective, missing, or incorrectly shipped merchandise. All claims and returns are governed by our Wholesale Return & Refund Policy.
8. No Dropshipping
Fragancias3y Wholesale does not provide dropshipping services. Orders must be shipped to and received by the wholesale buyer, its business location, or another address legitimately controlled or designated by the buyer for receiving wholesale inventory. We do not fulfill individual retail orders directly to the buyer’s end customers as a dropshipping service.
9. Resale and Product Integrity
Wholesale buyers may resell authentic merchandise they lawfully purchase from us, subject to applicable law and any restrictions imposed by the relevant brand, marketplace, or sales channel.
Products may not be altered, counterfeited, relabeled in a misleading manner, or represented as establishing an affiliation, authorization, exclusivity, or partnership with Fragancias3y Wholesale or a third-party brand when none exists.
10. Intellectual Property
The Services, including our original website content, graphics, text, layout, and other materials, are owned by or licensed to Fragancias3y Wholesale and are protected by applicable intellectual-property laws.
Third-party brand names, trademarks, logos, product names, and packaging displayed in connection with merchandise remain the property of their respective owners. Their appearance on the Services does not by itself imply sponsorship, endorsement, or affiliation.
11. Optional Tools and Third-Party Links
We may provide access to third-party tools, services, integrations, or links. Third-party services are governed by their own terms and policies. To the fullest extent permitted by law, we are not responsible for third-party websites, services, content, or transactions outside our control.
12. Relationship with Shopify
Fragancias3y Wholesale is powered by Shopify, which enables us to provide the Services. Sales and purchases made through our store are transactions directly between the buyer and Fragancias3y Wholesale. Shopify is not the seller of the merchandise and is not responsible for the sales transaction between you and Fragancias3y Wholesale.
13. Privacy
Personal information collected through the Services is handled according to our Privacy Policy. Because the Services are hosted by Shopify, certain information is also processed by Shopify in accordance with its applicable privacy practices.
14. Feedback
If you voluntarily submit reviews, ideas, suggestions, or other feedback, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback for operating, improving, and promoting the Services, subject to applicable law. You represent that you have the right to provide the content you submit.
15. Errors, Inaccuracies, and Omissions
Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, shipping charges, transit times, or availability. We may correct errors, update information, or cancel affected orders when reasonably necessary and permitted by law.
16. Prohibited Uses
You may use the Services only for lawful purposes. You may not use the Services to violate law or third-party rights; transmit malicious code; engage in fraud, harassment, impersonation, scraping, unauthorized automated access, or security circumvention; interfere with operation of the Services; or collect personal information of others without authorization.
17. Automated Agents
Automated or semi-automated agents may not access or interact with the Services in a manner that conceals automation, circumvents technical restrictions, defeats CAPTCHAs or other access controls, or violates instructions or measures designed to control automated access.
18. Suspension and Termination
We may suspend or terminate access to wholesale services or accounts when reasonably necessary because of nonpayment, fraud, misuse, legal or compliance concerns, violation of these Terms, or conduct that creates material risk to us, Shopify, service providers, brands, or other users. Amounts lawfully due remain payable after termination.
19. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis except for obligations expressly stated in these Terms or required by law. We do not guarantee uninterrupted or error-free access to the Services.
Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.
20. Limitation of Liability
To the fullest extent permitted by law, Fragancias3y Wholesale and its officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or lost resale opportunities, arising from use of the Services or wholesale merchandise.
Where liability cannot be excluded, our aggregate liability relating to a wholesale order will not exceed the amount paid to us for the affected merchandise, except to the extent a different limitation is required by applicable law.
21. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Fragancias3y Wholesale and its affiliates, officers, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from your material breach of these Terms, violation of law or third-party rights, or unlawful resale or use of merchandise.
22. Severability; Waiver; Entire Agreement; Assignment
If any provision is held unenforceable, the remaining provisions remain effective to the fullest extent permitted by law. Failure to enforce a provision is not a waiver. These Terms and incorporated policies form the agreement governing use of the Services and wholesale purchases, except for any separate written agreement signed by us.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a reorganization, sale, merger, or transfer of our business, subject to applicable law.
23. Governing Law
These Terms and wholesale transactions with Fragancias3y Wholesale are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to applicable law, disputes shall be brought in the state or federal courts having jurisdiction in Miami-Dade County, Florida.
24. Changes to These Terms
We may update these Terms from time to time for operational, legal, regulatory, or business reasons. The current version will be posted on the website with an updated effective date where appropriate. Continued use after an effective update constitutes acceptance to the extent permitted by law.
